1. Introduction & Acceptance Of Terms

These Terms of Service ("Terms") are entered into by RAAYA IndustrialIQ (OPC) Private Limited ("RAAYA", "we", "us" or "our") and govern your access to and use of the website at raayaindustrialiq.in (the "Website"), including any product demonstration, information or Book a Demo submission made available through it. By browsing the Website or submitting the Book a Demo form, you agree to these Terms. If you do not agree, please do not use the Website.

2. Website Use

The Website is provided to introduce visitors to IndustrialIQ and to let prospective customers learn about the product and request a demonstration. You may browse the Website and submit the Book a Demo / Contact form for legitimate, good-faith business purposes. We may update, change or discontinue any part of the Website's content or functionality at our discretion.

3. Acceptable & Prohibited Use

When using the Website, you agree that you will not:

• Submit false, misleading or fraudulent information through the Book a Demo / Contact form
• Attempt to bypass, disable or interfere with the form's validation, honeypot or rate-limiting protections
• Use automated tools, bots or scripts to scrape, spam or overload the Website or its forms
• Attempt to gain unauthorised access to the Website, its underlying code or its infrastructure
• Copy, reproduce, reverse engineer, decompile or create derivative works from the Website except as permitted by applicable law
• Use the Website in any way that violates applicable law or infringes the rights of others

4. Website Content & Information

The Website contains descriptive, marketing and illustrative material about RAAYA, IndustrialIQ and its roadmap, including illustrative dashboard previews and metrics that are labelled as such until real deployment data is available. We aim to keep this content accurate, but it is provided for general informational purposes and may be updated as the product evolves. Content on the Website does not constitute a binding proposal, quotation or contractual commitment; any commercial engagement with a customer is governed by a separate, specific agreement.

5. IndustrialIQ Product, Demo & Current MVP Status

IndustrialIQ, as made available through this Website and any live or recorded demonstration, is presently an early-stage minimum viable product / prototype ("current MVP") intended for demonstration, evaluation, validation and development purposes. The current MVP centres on computer-vision based detection (such as people, PPE and zone awareness) and a command-centre style view of detections and alerts. Capabilities described elsewhere on the Website — including near-miss prediction, digital-twin views, deeper EHS/BI/control-room integrations, multi-site or cloud-scale deployment, and robotics or autonomous response — are in development, planned, or represent our product roadmap and vision, and should not be understood as features of the current MVP unless we have specifically confirmed otherwise to you in writing.

Without limiting the foregoing, we do not represent that the current MVP provides, unless separately agreed in writing for a specific deployment:

• Live RTSP/ONVIF ingestion from arbitrary camera systems
• Simultaneous multi-camera monitoring at production scale
• Cloud deployment or multi-site infrastructure
• Enterprise API integrations, or integrations with ERP, WMS or SCADA systems
• Automated SMS or email safety alerting
• Production-grade safety certification of any kind
• A guaranteed detection accuracy rate
• A guarantee that any accident, injury or near-miss will be prevented or detected
• Real-world calibrated distance or spatial measurement
• Fully autonomous safety decisions or interventions without human oversight

Any demonstration, pilot or evaluation of IndustrialIQ is provided on an "as demonstrated" basis for the purpose of letting you assess the product; it does not represent a finished, certified or production-ready safety system, and any future production deployment would need to be separately scoped, configured and assessed for your specific environment.

6. Safety Disclaimer & Your Responsibility

IndustrialIQ relates to industrial safety, and we take the accuracy of this section seriously. The current MVP/demo must not be treated as a substitute for legally required safety procedures, trained safety personnel, physical safeguards, certified safety systems, or any applicable workplace health-and-safety regulations. Any detection, risk score or alert produced by the current MVP is an informational output only — it is not a guarantee that a hazardous event will, or will not, occur, and it must not be relied upon as the sole basis for a safety-critical decision. You and your organisation remain solely responsible for your own operational safety decisions, safety procedures and compliance with applicable law. If you evaluate or pilot IndustrialIQ, you agree to continue applying your existing safety controls and to independently validate any output before acting on it.

7. Intellectual Property

The Website, and all branding, text, graphics, software, documentation and other materials made available on it (excluding third-party materials referenced in Section 8), are owned by RAAYA IndustrialIQ (OPC) Private Limited or its licensors and are protected by applicable intellectual property laws, including our pending patent application (Application No. 202611069078). Except as necessary to view the Website in your browser for your own evaluation purposes, you may not copy, reproduce, republish, reverse engineer, decompile, disassemble or otherwise attempt to extract the source code or underlying methods of the Website or IndustrialIQ, nor use our name, branding or content, without our prior written permission.

8. Third-Party Services & Links

The Website relies on a small number of third-party services to operate, namely Resend (for delivering Book a Demo notification emails), Google Fonts, Google Maps (embedded on the Contact page) and Vercel (hosting). These services are provided by their respective companies under their own terms, and RAAYA does not control, and is not responsible for, their availability or practices. The Website may also reference or link to third-party resources for informational purposes; we are not responsible for the content or practices of any site we do not operate.

9. Availability & Changes To The Website

We aim to keep the Website available and accurate, but we do not guarantee uninterrupted, error-free or continuous availability. We may add, change, suspend or remove any part of the Website's content, features or availability at any time, including this Terms page and the Privacy Policy, without prior notice.

10. Disclaimer Of Warranties

The Website and any IndustrialIQ demonstration are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement, to the fullest extent permitted by applicable law. We do not warrant that the Website or any demonstration will be uninterrupted, secure or free of errors, or that it will meet your specific requirements.

11. Limitation Of Liability

To the fullest extent permitted by applicable law, RAAYA IndustrialIQ (OPC) Private Limited shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of data, business, revenue or goodwill, arising out of or relating to your use of the Website or any demonstration, evaluation or pilot of IndustrialIQ, even if we have been advised of the possibility of such damages. Nothing in these Terms is intended to limit any liability that cannot be excluded or limited under applicable Indian law.

12. Indemnification

You agree to indemnify and hold RAAYA harmless from any reasonable, documented claims, losses or expenses arising directly from your breach of these Terms or your misuse of the Website, except to the extent such claims, losses or expenses result from our own acts or omissions.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, any dispute arising out of or relating to these Terms or your use of the Website shall be subject to the exclusive jurisdiction of the competent courts at New Delhi, India.

14. Changes To These Terms

We may update these Terms from time to time as the Website, the current MVP or our services evolve. When we do, we will revise the "Last updated" date at the top of this page. We encourage you to review this page periodically.

15. Relationship To Our Privacy Policy

These Terms govern your use of the Website. How we handle information you submit — including through the Book a Demo form — is described separately in our Privacy Policy, which forms part of the overall terms on which you may use the Website.
